SD-16.2 — Owner & Investor Reporting

Business Domain: BD-16 Enterprise Governance & Accountability (Cross-cutting — corporate) · Applies: BOTH

Purpose

Produces the periodic accountability report to whoever the firm answers to — its owners, its beneficiaries, the shareholders of the funds it runs, or its limited partners. SD-16.2 is one capability with many audiences: a sovereign-wealth fund reports to its government, a pension scheme to its trustees and members, a third-party manager to fund boards and shareholders, a private-markets GP to its LPs. The capability is the same — gather the performance, stewardship and accountability data, format it to the audience’s standard, distribute it, and handle the queries — only the report template differs. It is not the internal investment reporting the firm uses to look at itself (that is SD-13.10), and it is not the commercial investor-relations and fundraising function — winning investors, the data room, the sales relationship — which belongs to BD-15 Distribution, Product & Client Management (SD-15.13 / SD-15.14). SD-16.2 is accountability reporting; it answers to those the firm is accountable to.

Service Operations

  • Produce the owner / beneficiary report — the periodic accountability report to a government owner, a board, or a scheme’s trustees and members.
  • Produce the investor / LP report — the capital-account statement, the fund-shareholder report and the periodic LP report, to the relevant disclosure standard.
  • Handle accountability queries — receive and answer the questions owners, beneficiaries and investors raise on the report.
  • Run the owner / investor meeting — the mechanics of the annual general meeting, the LP meeting and the owner accountability session.
  • Govern the reporting package — control the content, accuracy and assurance of the accountability report before it is issued.

Inputs and outputs

  • Inputs: internal investment reporting data and dashboards from SD-13.10; the governed metric definitions from SD-13.8; performance from BD-09; the funds’ NAV and capital accounts from SD-12.9; stewardship and voting records from SD-12.12; the GIPS-compliant presentations from SD-09.6.
  • Outputs: the owner, beneficiary, fund-shareholder and LP accountability reports — consumed by the firm’s owners, beneficiaries and investors, and the governing bodies.

Entities

  • Consumes: the performance, NAV and stewardship outputs across the model; E-01 Legal Entity (the owners and investors); FO-01 Fund Product (the issued-fund product the accountability reports cover — fund legal structure, regulatory wrapper and governance state from FO-01 feed the fund-shareholder and LP report headers); FO-02 Share / Unit Class (the class the regulatory disclosures and accountability reports cover — class ISIN, distribution policy and class_fee_schedule on FO-02 are class-grain figures required for UCITS KIID / PRIIPs KID, fund factsheets and the shareholder report); FO-03 Investor Unitholding (the per-investor, per-class unit balance at the register grain — the unitholder register that regulatory and shareholder reporting is produced from, including the register of unitholders entitled to distribution at the record date and the investor-level accountability statements); FO-06 Fee Accrual (the net_charge by fee_type and the OCF/TER reconstruction chain — the UCITS KIID / PRIIPs KID ongoing-charges disclosure, fund factsheet fee tables, and the ILPA fee-and-expense line items in LP reports all source from the stored FO-06 figures rather than from a live recomputation; the disclosed charge is the rendering of FO-06 net_charge aggregated over the period and divided by average NAV); the SD-09.6 GIPS-compliant presentations; the SD-12.12 stewardship and voting records; the SD-12.9 funds’ NAV and capital accounts; the SD-13.10 internal investment reporting data and dashboards; the SD-13.8 governed metric definitions.
  • Owns: the accountability-reporting package — a process artefact.

Standards

  • The ILPA Reporting Template (v2.0, January 2025) for LP reporting — its Capital Account Statement section carries the capital-account reporting.
  • GIPS for the performance presentation (the verified methodology is SD-09.6’s).
  • The Santiago Principles for sovereign-wealth-fund owner reporting; fund-shareholder disclosure regulation (the UCITS KIID / PRIIPs KID, fund factsheets).

Design notes

Investor and owner accountability report as a derived rendering

The periodic accountability report to the fund’s shareholders, unitholders, beneficiaries, LP investors and owners is a rendering of figures of record already in the model. It is not a stored entity in its own right. The derivation for the investor-facing periodic report is:

  • Unit balance and cost basis — FO-03 Investor Unitholding (the register position at the start and end of the reporting period).
  • Dealing events — FO-04 Dealing Order records (subscriptions, redemptions, transfers) settled during the period.
  • Income distributions — FO-05 Fund Distribution Event records (declarations, per-unit amounts, pay-date events).
  • NAV-per-unit series — class-grain E-07 Valuation records (produced by SD-12.9 at each pricing point; these are the struck figures of record).
  • Fee charges and OCF/TER — FO-06 Fee Accrual (net_charge by fee_type; the UCITS KIID / PRIIPs KID ongoing-charges disclosure sources from the stored FO-06 figures, not from a live recomputation).
  • Capital account — PM-13 Investor Capital Account (the periodic roll-forward of contributions, distributions, allocated gain for the closed-end LP case).
  • Performance — E-20 Performance Result records; the GIPS-verified presentation from SD-09.6.
  • Stewardship — voting and engagement records from SD-12.12.

No new entity is needed for the report package. The liability attaches to the correctness of the figures, not to the report format. SD-16.2 assembles these figures into the accountability report and governs its accuracy and distribution. The rendering is a process artefact; the figures are the records of truth. This is the same principle as the KIID/KID design note in SD-12.9: the document is the rendering of figures of record, never a separate stored source.

Guideline compliance vs investor reporting — two different accountabilities

SD-16.2 is the accountability-reporting spine; the mandate-compliance spine is distinct:

  • Mandate and guideline compliance (the SD-10.x spine — nine Service Domains) answers: did the portfolio stay within the rules it must obey? The breach record is E-18 Limit Breach, owned by SD-10.8. The liability is internal and regulatory. The reporting is to the firm’s compliance function and the regulator.
  • Owner and investor reporting (SD-16.2, and SD-15.14 for the commercial-discretionary variant) answers: what did we tell the investor or owner about performance, costs and holdings, and was it correct? The liability is to the investor or owner. The records backing the answer are the deterministic-spine figures (E-07, FO-06, FO-03, FO-04, FO-05, E-20, PM-13).

The two accountabilities share the portfolio universe but answer to different principals, carry different liabilities, and are closed through different remediation paths. SD-16.2 owns the investor / owner accountability; SD-10.x owns the mandate-compliance accountability. The boundary is architecturally load-bearing and must not be conflated.
