SD-12.15 — Transfer Agency & Investor Dealing

Purpose
Maintains the fund investor register and processes the dealing of fund units — the subscriptions, redemptions and switches of an open-ended fund’s investors. SD-12.15 is the transfer-agency capability: it keeps the register of who owns units in each fund, processes investor subscription, redemption and switch orders against the dealing cut-off and the struck NAV, settles the subscription and redemption cash, pays the distributions, and issues the contract notes and statements. Fund administration is fund accounting plus transfer agency; SD-12.15 is the transfer-agency half, the sibling of SD-12.9 Fund Accounting & NAV. It exists because the open-ended fund’s investor dealing is a distinct operational discipline with no equivalent elsewhere in BD-12 — SD-12.8 processes the closed-end capital-call and distribution events; SD-12.15 processes the open-ended registered-fund investor dealing. It is not the commercial client relationship — that is BD-15’s client-management cluster; SD-12.15 runs the processing engine and the register, BD-15 owns the relationship. As the transfer-agency half of fund administration, it follows the same activation switch as its sibling SD-12.9: an institution that operates no funds of its own — a pure investor that only invests its own or its clients’ capital — leaves SD-12.15 dormant.
Service Operations
- Maintain the investor register — keep the register of holders of each fund’s units, and the ownership and transfer record.
- Process subscriptions and redemptions — process investor subscription, redemption and switch orders against the dealing cut-off and the struck NAV.
- Settle investor cash — settle the subscription and redemption cash, and reconcile the dealing cash.
- Pay distributions — calculate and pay the income and capital distributions to the fund’s investors.
- Issue contract notes and statements — issue the deal confirmations, contract notes and periodic investor statements.
- Apply dealing controls — apply the anti-dilution-levy / swing-pricing inputs, the large-deal and dilution controls, and the dealing-suspension handling.

- Inputs: investor dealing orders, from the BD-15 client channels and the platforms; the struck NAV from SD-12.9; the onboarded investors from SD-15.11; the fund terms (PM-10).
- Outputs: the updated investor register, the processed deals, the settled investor cash and the contract notes — consumed by SD-12.9 Fund Accounting & NAV (the units in issue), SD-12.1 IBOR and SD-12.2 ABOR (the cash and position effects), SD-12.10 Reconciliation, SD-15.14 Client & Investor Reporting and SD-14.3 Financial Crime Prevention (the monitoring of investor flows).
